1. Overview
This website and storefront are operated by Millennium Enterprise Corp (MEC) (“MEC,” “we,” “us,” or “our”). By accessing or using this site, purchasing products, or subscribing to services, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”), including all referenced policies.
These Terms apply to all users, including browsers, vendors, customers, partners, and clients engaging MEC for professional services, SaaS solutions, or digital products.
If you do not agree to these Terms, you may not access or use the Service.
2. Eligibility & Authority
By using this Service, you represent and warrant that:
- You are at least 18 years of age
- You have the legal authority to enter into binding agreements
- If acting on behalf of an organization, you are authorized to bind that entity
MEC primarily serves businesses, government agencies, nonprofits, and institutions, and expects users to act within a professional capacity.
3. Scope of Services
MEC provides technology-driven offerings, including but not limited to:
- SaaS platforms and AI-enabled solutions (e.g., learning platforms, assessments, portals)
- IT infrastructure, cybersecurity, and advisory services
- Professional services, consulting, and managed services
- Digital products, templates, and subscriptions
Certain offerings may require additional agreements, including but not limited to:
- Master Services Agreements (MSA)
- Statements of Work (SOW)
- Service-Level Agreements (SLA)
In the event of a conflict, those agreements shall govern.
4. Orders, Pricing, and Payment
- All prices are in U.S. Dollars (USD) unless otherwise specified
- MEC reserves the right to adjust pricing at any time
- Orders are subject to acceptance and availability
- MEC may refuse or cancel orders at its discretion
Payment Terms:
- Payment is due at the time of purchase unless otherwise agreed in writing
- Late or failed payments may result in suspension of services
- Clients are responsible for all applicable taxes
5. Subscription Terms (SaaS & Recurring Services)
Certain MEC offerings are provided on a subscription basis (“Subscription Services”), including SaaS platforms, hosted environments, and recurring service engagements.
5.1 Subscription Plans
- Subscription plans may be offered on a monthly, annual, or multi-year basis
- Plan details, features, and pricing will be specified at the time of purchase or in a separate agreement
- MEC reserves the right to modify plan structures or features with reasonable notice
5.2 Billing & Renewal
- Subscriptions are billed in advance on a recurring basis (monthly, annually, or as specified)
- Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle
- You authorize MEC (and its payment processor) to charge your payment method for all recurring fees
5.3 Cancellation
- Subscriptions may be canceled at any time prior to the next billing cycle, or terms defined based on the notification terms of the specified product or service.
- Cancellation will take effect at the end of the current billing period unless otherwise specified
- No partial refunds will be issued for unused time unless required by law or agreed in writing
5.4 Suspension & Termination
MEC reserves the right to suspend or terminate Subscription Services if:
- Payments are overdue
- There is a violation of these Terms
- There is misuse of the platform or security risk to MEC or other clients
5.5 Service Availability
- MEC targets high availability for its SaaS platforms but does not guarantee uninterrupted service
- Maintenance, updates, or unforeseen outages may occur
- Any uptime commitments will be defined in applicable SLAs
5.6 Data & Access Upon Termination
- Upon termination or expiration, access to Subscription Services may be revoked
- Clients are responsible for exporting their data prior to termination
- MEC may retain or delete data in accordance with its data retention policies and agreements
6. Refunds and Cancellations
Due to the nature of MEC’s offerings:
- Professional services, consulting, and digital products are non-refundable once delivered or accessed
- Subscription fees are generally non-refundable once billed or an executed contract is in place.
- Exceptions may be made at MEC’s sole discretion or as required by law
7. Intellectual Property
All content, software, and materials provided by MEC are protected by intellectual property laws.
- MEC retains all rights, title, and interest in its platforms, software, and materials
- Clients are granted a limited, non-exclusive, non-transferable license to use services during the subscription term
- Clients retain ownership of their data and content, subject to applicable agreements
You may not:
- Copy, distribute, or resell MEC intellectual property
- Reverse engineer or attempt to extract source code
8. Acceptable Use
You agree not to:
- Use the Service for unlawful or unauthorized purposes
- Attempt to gain unauthorized access to systems or data
- Transmit malicious code or disrupt service operations
- Violate data protection or cybersecurity standards
MEC reserves the right to suspend access for violations.
9. Data Security & Privacy
MEC employs industry-standard safeguards to protect client data; however:
- No system is completely secure
- Clients are responsible for safeguarding credentials and access
Use of the Service is also governed by our Privacy Policy.
10. Third-Party Services
MEC may rely on third-party providers (e.g., Shopify, cloud hosting, payment processors). MEC is not responsible for:
- Third-party service interruptions
- Security practices or policies of external providers
11. Disclaimers
All services are provided “as is” and “as available,” without warranties of any kind.
MEC does not guarantee:
- Continuous, uninterrupted service
- Specific business outcomes or results
- Complete elimination of cybersecurity risks
12. Limitation of Liability
To the fullest extent permitted by law:
MEC shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of revenue, profits, or data
Total liability shall not exceed the fees paid for the specific service in question.
13. Indemnification
You agree to indemnify and hold harmless MEC and its affiliates from any claims arising out of:
- Your use of the Service
- Violation of these Terms
- Infringement of third-party rights
14. Governing Law
These Terms are governed by the laws of the District of Columbia (Washington, DC).
All disputes shall be resolved exclusively in courts located within Washington, DC.
15. Changes to Terms
MEC reserves the right to update these Terms at any time. Updates will be posted with a revised effective date.
Continued use of the Service constitutes acceptance of the revised Terms.
